ARTICLE 1 – DEFINITIONS

BUYER: This term refers to the contracting party, a natural person of legal age who has ordered one or more Product(s) on the Website. The Product(s) ordered must be intended for the Buyer’s personal use, excluding any resale outside the family circle.

ORDER: This term refers to the request submitted by the Buyer to RGOODS, which, once accepted by RGOODS, constitutes the sales contract between the parties. All Orders imply an obligation to purchase on the part of the Buyer.

GENERAL TERMS AND CONDITIONS OF SALE: This term refers to the terms and conditions described herein under which RGOODS offers for sale the Product(s) presented on the Website.

SRF: This term refers to Surfrider Foundation, a non-profit organization governed by the French Law of 1901, whose registered office is located at 33 Allée du Moura, 64200 Biarritz, France. Email: contact@surfrider.eu.

PARTY(IES): This term refers jointly or individually to the Buyer and/or RGOODS.

PRODUCT(S): This term refers to the items or services sold by RGOODS on the Website.

SELLER: This term refers to the company RGOODS (hereinafter “RGOODS” or “the Seller”), a simplified joint-stock company (société par actions simplifiée) whose registered office is located at 10 Avenue Georges Auric, 72021 Le Mans Cedex 2, France, registered with the Le Mans Trade and Companies Register under number 994 897 809, email: contact@rgoods.com.

WEBSITE: This term refers to the website operated by RGOODS, accessible at [website address missing]. For more information regarding the Site, please consult the Legal Notice.

USER: This term refers to any person browsing the Site.

ARTICLE 2 – SELLER IDENTIFICATION

SRF has engaged RGOODS to develop and operate the SRF online store, accessible electronically at https://shop.surfrider.eu

RGOODS is the seller of the goods or services offered on the Site.

ARTICLE 3 – GENERAL TERMS AND CONDITIONS OF SALE OF THE SITE

These General Terms and Conditions of Sale define the rights and obligations of the Parties in connection with the sale of Products by RGOODS to any potential Buyer, and inform them of the terms and conditions under which the Seller sells and delivers the Products ordered. These General Terms and Conditions of Sale apply, without restriction or reservation, to all sales of Products on the Site, including sales made as part of promotional offers or contests initiated by RGOODS.

When placing an Order, the Buyer expressly declares having read these General Terms and Conditions of Sale prior to placing their Order. Consequently, placing an Order on the Site implies the Buyer’s unreserved acceptance of and full adherence to these General Terms and Conditions of Sale, which prevail over any other document, unless specific terms and conditions deviate from these terms and conditions are expressly agreed to in writing by the Seller.

The Seller reserves the right to modify these General Terms and Conditions of Sale at any time. However, the applicable General Terms and Conditions of Sale are those accepted by the Buyer at the time of order confirmation.

These General Terms and Conditions of Sale are supplemented by the Privacy Policy.

ARTICLE 4 – PRODUCTS AND PRICES

4.1 – Product Characteristics

The items presented on the Website are characterized by a detailed description (name, dimensions, color, origin, usage instructions), the content of which depends on the nature of the product, a price, and a photograph. The offer provided by the Website is valid in Metropolitan France only.

The Buyer is informed that the photographs, illustrations, and texts presenting the Products are purely illustrative; consequently, these texts and photographs are not contractual. In the event that the Products are photographed alongside or in their packaging, the Seller specifies that this packaging does not constitute a substantial element of the sale.

Furthermore, the Seller reserves the right to modify the range of Products offered for sale on its Website at any time, particularly due to constraints with its suppliers.

4.2 – Product Availability

The Products offered for sale are those listed on the Website on the day it is accessed by the User and/or the Buyer.

If a product is unavailable after an Order has been placed, the Buyer will be informed of this unavailability by email from the Seller. The Seller may decide to confirm the order despite the missing product(s) or to cancel it, in which case the Order will be refunded. If the Order is confirmed by the Buyer, the Seller will then proceed with delivery without the unavailable Product(s) and will refund the cost of the missing Product(s).

4.3 – Product Prices

The prices of the Products offered on the Website are indicated in euros (€). They include Value Added Tax (VAT) applicable on the day of the Order. Any change in the VAT rate will be reflected in the prices of the products offered.

Prices do not include any processing, preparation, and shipping fees, which are charged in addition to the price of the Products. Shipping costs and delivery methods are indicated to the Buyer before order confirmation.

The price indicated in the order confirmation is the final price, inclusive of all taxes, including VAT for France, and the processing, preparation, and shipping fees.

The products remain the sole property of RGOODS until the Buyer has fulfilled all their obligations to RGOODS, and in particular until full payment of the price.

ARTICLE 5: ORDER REGISTRATION AND VALIDATION

The conditions described in this article apply to any order or pre-order placed by the Buyer on the Website.

5.1 – Placing an Order

All Users can view the Products offered for sale by RGOODS on the day they visit the Site by browsing the different Product categories. If they wish to place an Order, the User then selects the Products they are interested in by clicking on the “Add to cart” button.

At any time, the User can obtain a summary of the selected Products or modify their Order by clicking on “View my Cart.” A summary of their Order will then appear on the screen. If the list presented corresponds to the Products they wish to order, the User can proceed with their order by clicking on “Place Order.”

5.2 – Buyer Identification

To place an Order, the Buyer must enter their customer and banking details or log in via their personal account if they have created one on the Site.

The Buyer declares that they have the full legal capacity to enter into this agreement under these General Terms and Conditions of Sale. If a Buyer lacking legal capacity orders Products, their legal guardians will bear full responsibility for the Order and must, in particular, pay the price thereof.

5.3 – Order Confirmation

The Order may be modified at any time until final confirmation by the Buyer, which constitutes definitive acceptance of the offer.

Once the Buyer confirms the Order, it is transmitted to the Seller and may no longer be modified or canceled by the Buyer, except under the conditions expressly provided for in these General Terms and Conditions or as required by applicable law.

Once payment for the Order has been confirmed by the Buyer in accordance with the terms set forth in Article 6 of these General Terms and Conditions, an Order summary is automatically sent to the Buyer electronically, to the email address provided during registration.

This order summary will include the following:

Payment and delivery methods, and, where applicable, delivery charges;
The characteristics of the product(s) ordered;
The terms and conditions for exercising the right of withdrawal and the email address to which the buyer can send complaints;
Automatic recording systems are considered valid proof of the nature, content, and date of the order.

The information provided by the customer when placing the order is their sole responsibility: in the event of an error in the recipient’s contact information, RGOODS cannot be held liable for any resulting inability to deliver the product.

ARTICLE 6 – PAYMENT

6.1 – Payment Methods

Credit Cards

The following credit cards are accepted on the Site: Carte Bleue, Visa, and Mastercard.

All data entered during credit card payment is immediately encrypted using the SSL protocol. No confidential payment data is stored by RGOODS. This information is accessible only to RGOODS’ banking provider. RGOODS does not have access to the Buyer’s bank details at any time.

PayPal

This option requires the Buyer to have a PayPal account. The Buyer will then be redirected to a secure PayPal page. The Buyer must enter the email address linked to their PayPal account and their PayPal password when placing the order.

Financial and personal information is automatically encrypted when any sensitive information is sent to PayPal’s servers. In the event of a return, the refund will be issued as a credit to the PayPal account used for the original order.

Apple Pay

This option requires the Buyer to have an Apple Pay account. The Buyer will then be redirected to a secure Apple Pay page. The Buyer will need to enter their Apple ID and associated password to complete the order.

Financial and personal information is automatically encrypted when any sensitive information is sent to Apple’s servers.

6.2 – Payment Terms

The price charged to the Buyer is the price indicated on the order confirmation sent by email from RGOODS. Orders are payable in euros (€), including all taxes and mandatory contributions. Any bank charges remain the responsibility of the Buyer (including in the case of a refund).

RGOODS reserves the right to suspend or cancel any Order and/or delivery in the event of a payment incident, failure to pay any sum due by the Buyer, or in the event of fraud or attempted fraud related to the use of the Site, including in connection with previous Orders.

6.3 – Security of Payment Transactions

As part of its efforts to combat online fraud, information relating to the Buyer’s Order may be transmitted to any third party authorized by law or designated by RGOODS for the sole purpose of verifying the Buyer’s identity, the validity of the Order, the payment method used, and the intended delivery.

Following this verification, RGOODS reserves the right to request a photocopy of the Buyer’s identity card and/or any other information relating to the Buyer’s identity. Every Buyer has the right to access, rectify, and delete their personal data processed by RGOODS, under the conditions set out in the Privacy Policy.

RGOODS uses the services of Stripe Payments Europe Ltd, an Irish company with its registered office at 1 Grand Canal Street Lower, Grand Canal Dock, Dublin 2, Ireland, registered under number IE 513174, and authorized as a payment institution by the Central Bank of Ireland.

Stripe provides RGOODS with a secure payment service for transactions made on the online store.

Payment security relies in particular on data control, authentication, and encryption procedures. As such, Stripe is certified compliant with the international PCI-DSS (Payment Card Industry Data Security Standard) – Level 1, which aims to guarantee the confidentiality and integrity of payment data.

When paying by credit card, sensitive data is transmitted directly to Stripe via a secure interface and is never stored or processed on RGOODS servers.

Stripe may use strong authentication methods, including 3-D Secure, to prevent fraud.

To use Stripe’s payment services, the Buyer may be required to accept Stripe’s terms and conditions. The Buyer remains solely responsible for the transmission of information related to their payment method. RGOODS disclaims all liability in this regard, to the extent permitted by applicable law.

ARTICLE 7 – RETURNS AND REFUNDS

7.1 – Exercising the Right of Withdrawal

In accordance with Article L. 221-18 of the French Consumer Code, the Buyer has fourteen (14) days from the date of receipt of the package containing the ordered Products to exercise their legal right of withdrawal without having to justify their decision.

In accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for Orders relating to:

the supply of goods that have been unsealed after delivery and that cannot be returned for reasons of hygiene or health protection; opened or used cosmetic and hygiene products. These must be returned in their original packaging, unopened and undamaged.

the supply of goods made to the consumer’s specifications or clearly personalized.

The Buyer must exercise their right of withdrawal by sending an unambiguous statement via email to info@shop.surfrider.eu and printing a return slip following the procedure indicated on the Website.

The Buyer must then return the Product(s), at their own expense, in their original packaging, no later than fourteen (14) days after communicating their decision to withdraw. RGOODS will not accept packages sent with postage due.

The items must be returned to the address indicated on the return slip that the Buyer will have printed from the Website or to the following address: RGOODS c/o LOGVAD, 1 rue de la Couture, 59115 Leers, France.

If the fourteen (14) day period expires on a Saturday, Sunday, or public holiday, it is extended to the next business day.

If the aforementioned conditions are met, the customer may request a refund for the returned products (order preparation and delivery fees are not refundable). RGOODS will then refund the amounts paid by the Buyer for the returned products when placing their order.

RGOODS will refund the customer as soon as possible and no later than fourteen (14) days following the date of withdrawal. The Seller reserves the right to postpone the refund until the Product(s) have been received and inspected. Refunds will be made by bank transfer to the account linked to the bank card or other payment method used when placing the Order.

7.2 – Unavailable Product(s)

If the Product(s) are unavailable, and if the Buyer has already paid for said Product(s), the Buyer will be reimbursed by bank transfer to the account linked to the bank card or other payment method used when placing the Order, within thirty (30) days of the notification of unavailability sent to the Buyer.

ARTICLE 8 – DELIVERY AND RECEIPT

8.1 – Provisions General to Product Delivery

Products ordered by the Buyer in accordance with these General Terms and Conditions will be delivered to the address indicated by the Buyer as the delivery address when placing their Order (“Delivery Address”).

Delivery will take place within the timeframe indicated on the Order confirmation sent by the Seller to the Buyer. Delivery times begin from the date the Order is validated by the Buyer. RGOODS undertakes to implement all necessary measures to meet the indicated delivery times and to deliver the Order no later than thirty (30) days from the date of Order validation.

The Buyer may choose from several delivery methods. RGOODS offers home delivery via various providers; the terms may vary depending on the Products, the weight of your Order, and the provider. Your contribution to preparation and shipping costs depends on the delivery method you choose. This amount will be displayed during the order confirmation process before final validation.

RGOODS uses highly reliable delivery services. However, as with any shipment, there may be a delivery delay or the package may be lost. In the event of a delivery delay exceeding 7 days, the Buyer must inform SRF’s customer service at info@shop.surfrider.eu to initiate an investigation. This investigation can take up to 21 days from the date it is opened. If the package is found during this period, it will be reshipped to the Buyer’s address as soon as possible. If, however, the package is not found after the 21-day investigation period, it will be considered lost. In this case, RGOODS will send the Buyer a replacement package at its own expense. If the lost product(s) are no longer available at that time, RGOODS will reimburse the Buyer for the cost of that product(s).

Any anomaly concerning the delivery (damage, open package, damaged package, broken products, etc.) must be clearly indicated on the delivery slip as “handwritten reservations,” accompanied by the Buyer’s signature. The Buyer must report the anomaly to SRF’s customer service within 24 hours so that a claim can be filed with the carrier.

8.2 – Order Receipt

Upon receiving their package, the Buyer is asked to check the contents and sign the delivery receipt, noting any reservations observed.

In the event of significant anomalies concerning the condition of the package (severely damaged package, open package, signs of leakage, etc.) or the ordered products (missing and/or damaged products), the recipient of the Order must absolutely not open the package or refuse delivery if the delivery person is present.

The recipient must also clearly and thoroughly describe all reservations concerning the detected anomaly to the Site’s customer service department at info@shop.surfrider.eu with the subject line “Returns and Refunds” within three (3) business days of receiving the package. The Buyer must return the Products to RGOODS, which will send the replacement Product(s) at its own expense.

Delivery is considered complete upon the package being made available to the recipient directly or in their mailbox.

In the event of force majeure, RGOODS cannot be held liable for any direct or indirect consequences arising therefrom.

ARTICLE 9 – LEGAL GUARANTEES

9.1 – Legal Guarantee of Conformity

In accordance with Articles L.217-4 et seq. of the French Consumer Code, the Seller is liable for any lack of conformity of the Products offered on the Website. The Seller is also liable for any lack of conformity resulting from the packaging, assembly instructions, or installation when the latter was the Seller’s responsibility under the contract or was carried out under the Seller’s supervision.

Subject to presentation of proof of purchase, the Buyer has two (2) years from the date of delivery of the Product to invoke the legal guarantee of conformity.

The Buyer should contact SRF’s Customer Service department via the Contact form. Customer Service will acknowledge receipt of the Buyer’s request and will inform them of the procedure to follow, including providing a return label. The return shipping costs for the Product(s) are borne by the Seller.

The non-conforming Product(s) must be returned unused by the Buyer and, if possible, in their original packaging. The Buyer is responsible for retaining proof of return.

If all the aforementioned conditions are met, the Buyer may choose between a refund and a replacement of the Product. RGOODS will exchange or refund the returned Products to the Buyer within fourteen (14) calendar days of receiving the returned items or, failing that, proof of shipment.

If the Buyer wishes to be refunded, in accordance with Article 7 herein, RGOODS will credit the bank card used for the purchase, providing its payment processor with the order number information. In the case of payment via PayPal, the refund will be issued directly to the Buyer’s PayPal account.

9.2 – Warranty Against Hidden Defects

In accordance with Articles 1641 et seq. of the French Civil Code, RGOODS is liable for hidden defects in the Products offered on the Site. Subject to presentation of proof of purchase, the Buyer may invoke the warranty against hidden defects within two years.

The Buyer must provide proof that the defect was not apparent, existed at the time of purchase, and renders the product unfit for its intended use, or significantly diminishes its usability. Subject to providing such proof, the Buyer may choose between rescinding the sale or obtaining a reduction in the sale price.

ARTICLE 10: PERSONAL DATA

RGOODS and SRF collect personal data within the framework of this Site. The information collected from Users and Buyers on the Site is intended for the exclusive use of RGOODS and SRF.

RGOODS and SRF only collect the personal information necessary for the proper execution of Orders and donations made on the Site. Providing this information is mandatory, as it is essential for processing and shipping Orders and for issuing invoices or tax receipts by SRF in the case of a donation made on the Site. Failure to provide this information will result in the Order not being validated.

Cookies may be used for the operation and processing of Orders on the Site.

We respect the concerns of all Buyers regarding the protection of their privacy and personal data. In accordance with the provisions of the French Data Protection Act of 6 January 1978, as amended, and Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016, the Buyer has the right to access, information, object to, rectify, restrict the processing of, and request the portability and erasure of their personal data.

The Buyer also has the right to provide instructions regarding the fate of their personal data after their death and to lodge a complaint with a competent authority. ARTICLE 11 – RETENTION OF TITLE

RGOODS retains full ownership of the Products sold until full payment of the price, including principal, fees, and taxes, has been received. Failure to pay may result in the Products being reclaimed.

The risk of loss or damage passes to the Buyer upon delivery of the Products.

ARTICLE 12 – INTELLECTUAL PROPERTY

The Website is an intellectual work protected by intellectual property law. The Website and each of its components (including, but not limited to, trademarks, logos, photographs, images, illustrations, texts, slogans, videos, etc.) are the exclusive property of SRF or RGOODS, as applicable, which alone is authorized to exercise the related intellectual property and personality rights.

Any reproduction, in whole or in part, modification, or use of these elements for any reason and on any medium whatsoever, without the express, prior written consent of SRF, RGOODS, or the relevant intellectual property rights holder, is strictly prohibited.

No right of use may be granted for any of the intellectual property rights appearing on the Site. SRF and RGOODS reserve the right to take legal action against any infringement of their intellectual property rights.

Any simple or hypertext link to the Site is strictly prohibited without the express written consent of RGOODS.

ARTICLE 13 – RGOODS’ LIABILITY

RGOODS and SRF are not the producers of the items for sale on the Site, as defined by French Law No. 98-389 of May 19, 1998, concerning liability for defective products. RGOODS and SRF shall not be held liable for any damage to a person or property caused by a product defect, misuse of the products sold, or modifications to the products made by the manufacturers.

Only the producer of the product may be held liable by the consumer, based on the information appearing on the product packaging.

The Seller shall not be held liable for failure to perform the contract in the event of stock shortage or unavailability of the item, force majeure as defined by French law, or the occurrence of an event that was not reasonably within the Seller’s exclusive control.

The Seller shall not be held liable for any errors in the presentation of products on the Website; the photographs, texts, and illustrations representing the products are not contractual.

ARTICLE 14 – PARTIAL INVALIDITY

If one or more provisions of these Terms and Conditions are held to be invalid or declared as such pursuant to any law, regulation, or final ruling of a competent court, the other provisions shall remain in full force and effect.

ARTICLE 15 – DISPUTE RESOLUTION, APPLICABLE LAW, AND JURISDICTION

In the event of a dispute or complaint relating to an Order, the Buyer must submit their grievances by sending a letter to RGOODS – Customer Service – 10 Avenue Georges Auric, 72021 Le Mans Cedex 2, France, or by email to info@shop.surfrider.eu.

In the event of difficulties in the application of this contract, the Parties agree to seek an amicable solution to the dispute before taking any legal action.

Sales of RGOODS Products are governed by French law, regardless of the Buyer’s country of residence or the location where the Order is placed. The mandatory legal provisions of the Buyer’s country of habitual residence remain unaffected.

Any dispute relating to the existence, interpretation, or performance of these Terms and Conditions, even in the case of multiple defendants or summary proceedings, shall, in the absence of an amicable agreement, fall under the exclusive jurisdiction of the Commercial Court of Le Mans, in accordance with the rules set forth in the French Code of Civil Procedure.
